Before approving an overseas software order, give finance the contract, the seller's details and the software rights being purchased. Ask them to assess withholding tax, service tax and e-Invoice documentation separately.
Buy direct if the vendor's ordering arrangements meet your purchasing requirements. A Malaysian reseller quote may help if you need RM pricing or setup work. Neither route nor the quote currency settles the tax treatment: confirm who sells the licence, who receives payment and whether an intermediary sells in its own name or only arranges the purchase.
Tax references checked against official guidance on 17 October 2026. This is a procurement starting point; ask your finance team or tax adviser to assess your contract.
First, identify who is selling the software
Identify the company selling you the software before comparing totals. Check whether that same company will issue the invoice and receive payment.
Add the seller's country of tax residence. Ask whether an intermediary sells the licence in its own name or only arranges the purchase.
An RM quote does not, on its own, prove that the seller is Malaysian-resident. A local contact does not establish the payment relationship either. Ask finance to check the seller's residence against the contract.
Keep the contract and quote together. If the seller, invoice issuer or payee differ, ask finance to resolve the relationship before approving payment.
Explore the software brands we quote in RM or send your product and company requirements. We offer quotations for our listed catalogue; confirm availability and the named seller for your order.
Software withholding tax in Malaysia: what needs checking
HASiL's royalty explanation includes payments for the use, or right to use, software. It states a 10% withholding rate for royalties paid to a non-resident, subject to the applicable double-taxation-agreement rate. Its guidance also sets out when royalty income is treated as Malaysian-source. Source: HASiL withholding-tax guidance
That is a reason to review the contract before paying an overseas supplier. It is not a rule that every software invoice attracts 10% withholding. Establish the payment's classification, the payee's residence and the source conditions, then check any applicable treaty treatment.
Give finance the licence terms rather than just a screenshot of the checkout. Ask them to record:
- What payment category applies to the rights and services purchased?
- Is the recipient non-resident, and what evidence supports that assessment?
- Which Malaysian-source conditions are relevant?
- Does a tax treaty apply, and what supporting documents are needed?
- Who bears any tax cost under the contract?
Avoid approving a blanket percentage saving in a reseller comparison. Until the underlying payment and contract have been assessed, that number is an assumption.
What changes when you buy through a local reseller?
First establish whether the Malaysian reseller sells the licence in its own name and for its own account. That is the principal role. An agent instead arranges your purchase from the underlying vendor.
If a Malaysian-resident reseller genuinely sells as principal, in its own name and for its own account, and you pay that reseller, the recipient differs from a direct payment to the foreign vendor. Give finance both contracts to assess the payments on their actual terms.
If an intermediary only helps you complete the foreign vendor's checkout, do not assume the underlying payee has changed. Ask who contracts with whom.
Compare the payment routes:
- Direct overseas order: identify the foreign contracting seller, payee, licence rights and any separately purchased services. Request a review of the actual overseas payment.
- Resident reseller acting as seller: establish the reseller's residence and principal role, then review your payment to that seller. Confirm the invoice and fulfilment arrangements.
- Agent-assisted order: identify the underlying seller and payment recipient. Review the underlying purchase and any separately charged agency service on their own terms.
Compare both routes against your purchasing policy. If direct ordering already meets your requirements, use that as your baseline. Ask a reseller to specify which ordering, documentation or support requirements its quote will cover before deciding whether the arrangement is useful.
Withholding tax, service tax and e-Invoice are separate checks
Do not use an invoice format as a tax verdict. Check any applicable sales and service tax (SST) requirements separately from withholding-tax classification and e-Invoice documentation.
Your company may need to issue the e-Invoice itself when buying from a foreign seller. This is called a self-billed e-Invoice.
Ask finance to check the requirements for your buyer and transaction in section 10.4.3 of HASiL's Specific Guideline v4.9, dated 7 September 2026. Source: HASiL's current guideline index
The same guideline separately addresses including imported-service tax amounts where applicable under the relevant SST law in section 10.4.7. A self-billed e-Invoice therefore does not, by itself, show that withholding tax or service tax is inapplicable. Source: e-Invoice Specific Guideline, sections 10.4.3 and 10.4.7
Before approving the order, ask finance to complete three separate lines:
- Withholding tax: classification, recipient, source conditions and any treaty position.
- Service tax: whether SST obligations apply to this purchase and who handles them.
- e-Invoice: what documentation your company must issue or retain.
A purchase brief you can send to IT and finance
Put the commercial facts in one brief. Use this as a handover template, rather than a list of assurances to collect after payment.
Product and entitlement
- Product name, plan or edition, required capacity and licence term.
- New order or renewal, existing account details and renewal date.
- Company that will own the subscription and person receiving fulfilment.
- Add-ons, setup and training listed separately.
Supplier and payment
- Legal seller, invoice issuer, payee and residence information.
- Quote currency, total payable, validity and stated payment terms.
- Any tax amount or contractually allocated tax cost.
- Required vendor onboarding documents and purchase-order references.
Approval and renewal
- Finance's recorded tax and documentation assessment.
- Named licence administrator and support contact.
- Renewal owner, reminder date and cancellation or renewal terms to verify.
Send the completed brief with the quotes so IT and finance can compare the same purchase.
SonarQube example: request the same scope in both quotes
For a SonarQube purchase, our Malaysia SonarQube page offers Ringgit quotes, licences, setup and developer training.
Send us the buying company, Cloud or Server preference, required edition or plan if known, codebase size, term and any add-ons. Ask for setup and training to be itemised. Confirm the seller, invoice requirements and ordering terms on the resulting quote.
Then compare the same scope with your direct-order option. Our SonarQube direct-versus-reseller guide helps you choose the purchasing route; use the SonarQube pricing and lines-of-code guide for licence sizing.
Singapore purchases need their own review
Do not copy a Malaysian withholding-tax assumption into a Singapore order.
IRAS distinguishes copyright rights from copyrighted articles. Its guidance says internal-use software without transferred copyright-exploitation rights is not subject to withholding under that approach. Additional software services physically performed in Singapore can have a different treatment. Source: IRAS payments subject to withholding tax
If your buying company is in Singapore, have finance review your software rights and services under Singapore rules. A general claim that a reseller saves withholding tax on ordinary internal-use software would be misleading.
For an SGD SonarQube quote, use our Singapore SonarQube page. Confirm the named seller and applicable invoice details for that order.
Frequently asked questions
Does paying for software in USD automatically trigger Malaysian withholding tax?
No. Currency alone does not determine the assessment. Review the payment classification, recipient's residence, Malaysian-source conditions and any applicable tax treaty. HASiL's royalty guidance includes software use or the right to use software.

Is Malaysian software withholding tax always 10%?
No. HASiL states 10% for royalties paid to a non-resident, subject to the applicable treaty rate. First establish whether the payment falls within that framework; do not apply the percentage to every software invoice.

Does buying through a Malaysian reseller guarantee a tax saving?
No. Confirm whether the reseller is a Malaysian-resident principal seller or an agent, and identify the actual payee. A changed payment relationship needs its own assessment; it is not a blanket reseller exemption.

Do overseas software purchases need a self-billed e-Invoice?
HASiL's current Specific Guideline addresses self-billed e-Invoices for Malaysian buyers purchasing from foreign sellers. Ask finance to check the requirements applicable to your company and transaction against the current guideline.
